This Founding Member Pre-Sale Agreement (“Agreement”) governs your advance purchase of future UWAAN platform access. It is between UWAAN, Inc. (“UWAAN,” “we,” “us,” or “our”) and the individual or business identified in the accepted order (“Customer,” “you,” or “your”).
Your selected package, purchased access term, price, applicable taxes and any expressly agreed additional entitlements form part of your order.
1. Nature of the Purchase
You are purchasing future access to a software platform currently under development.
This purchase does not provide equity, ownership, securities, dividends, profit participation or any financial return. “Founding Member” is a customer designation. It does not make you a corporate founder, shareholder, partner or investor in UWAAN.
Purchase proceeds may be used for development, infrastructure, data services and other business expenses. Funds are not held in escrow. This does not remove UWAAN’s delivery and refund obligations under this Agreement.
2. Acceptance and Eligibility
You must be at least 18 and legally able to enter into this Agreement. If purchasing for a business, you represent that you are authorized to bind that business.
You accept this Agreement by affirmatively selecting the required acceptance checkbox and completing your purchase, or by signing an order that expressly incorporates this Agreement.
The Agreement and relevant order information must be accessible before payment. UWAAN will provide an order confirmation and a retainable copy of the accepted Agreement.
3. Packages, Prices and Payment
The following prices are one-time payments in USD for the entire selected access term:
| Package | Purchased access term | One-time price |
|---|---|---|
| Individual | 12 months | $299 |
| Individual | 24 months | $499 |
| Individual | 36 months | $699 |
| Corporate | 12 months | $2,000 |
| Corporate | 24 months | $3,500 |
| Corporate | 36 months | $5,000 |
Applicable taxes, if any, and the total charge will be disclosed before payment.
These purchases do not automatically renew. No recurring subscription charge is authorized by this Agreement. Any renewal, upgrade or additional paid service requires a separate affirmative purchase.
4. Individual and Corporate Entitlements
Individual packages include one individual user account and a personal portfolio containing up to three saved properties at a time. This is a saved-portfolio limit, not a blanket limit of three searches.
Individual packages do not include managing separate client portfolios.
Corporate packages include one administrator user account, unlimited client or investor profiles, unlimited saved properties within each profile, separate client and property reporting, and consolidated portfolio views.
Client or investor profiles are organizational records within the Corporate account. They are not separate login accounts. Additional staff or client login accounts are included only if expressly stated in the order.
“Unlimited” does not grant API access, automated harvesting, unrestricted bulk export, resale rights or permission to use the platform as a competing data service.
UWAAN may apply proportionate security and technical controls to protect the service. Such controls will not be used to introduce undisclosed ordinary-use numerical limits or automatic overage charges on the promised Corporate profiles and saved properties.
5. Geographic Coverage and Expansion
UWAAN will launch initially in the San Diego pilot market, with planned phased expansion across the United States. Your purchased package includes access to all geographic markets made available within your plan during your purchased access term, without an additional geographic expansion fee.
Geographic coverage will expand progressively. Nationwide availability is a development objective, not a commitment to deliver every U.S. market by a particular date. Market availability, property records and analytical detail may vary according to source-data availability and operational readiness.
For purposes of the December 31, 2027 delivery deadline, qualifying activation requires the material purchased capabilities to be usable in the San Diego pilot market. Nationwide coverage is not a condition of initial activation.
Access to subsequently released markets is included for the remainder of your purchased term and does not restart or extend that term.
An additional geographic expansion fee will not be charged for access to the same purchased plan in newly released markets. Separate products or optional services may be offered, but they will not be used to reclassify or remove capabilities already included in your purchase.
6. Purchased Platform Capabilities
Within the available coverage and subject to the applicable plan, the purchased service includes:
- Property search and available property information.
- Neighborhood intelligence using available historical and market indicators.
- Predictive seller and off-market signals.
- Analysis of listed-property opportunities.
- Saved-property portfolio organization and reporting.
- For Corporate customers, client-based portfolio organization and separate reporting.
These capabilities use available source information and UWAAN analytical methods. No particular property record, source-data field, opportunity, prediction or transaction outcome is guaranteed.
Predictive seller signals do not establish an owner’s actual intention to sell or permission to contact that owner. Property opportunity indicators are not licensed appraisals, inspections or guarantees of an underpriced property.
Forecasts, estimates and scores may change as source information, assumptions and models change.
AI assistance, rental-specific engines, APIs, integrations and other separate roadmap features are not required for initial qualifying activation unless expressly included in your order.
UWAAN may improve interfaces, models and technical implementations while preserving the material purchased functionality. A materially different or substantially incomplete service cannot be treated as delivery merely by changing its description.
7. Early Access, Beta and Planned Launch
All accepted pre-sale customers will be offered early access before the general public when a usable early-access version becomes available. Invitations may be issued in stages.
Beta and early access are targeted for March–April 2027. General public release is planned for June 2027.
These are estimated development milestones. They may change within the final delivery period.
Optional beta participation does not start or reduce your purchased access term. Beta versions may contain incomplete features, errors, limited datasets and interruptions.
UWAAN will notify affected customers by email of material schedule changes and publish updated general schedule information on its website.
A change to a planned beta or public-launch milestone does not, by itself, create a voluntary cancellation right, subject to the remedies in this Agreement and mandatory applicable law.
8. Qualifying Activation and Access Term
Your purchased access term begins at qualifying activation, not payment.
Qualifying activation occurs when the material capabilities of your purchased plan are actually usable in the San Diego pilot market and UWAAN sends you an activation notice with access instructions.
A login page, demonstration, optional beta or substantially incomplete service alone is not qualifying activation.
The activation notice will identify your term’s start and expiration dates. Your purchased 12, 24 or 36 months run from that start date.
If access is available and the activation notice has been delivered, choosing not to log in does not postpone the term. If access instructions fail because of UWAAN’s error, the start date will be corrected to when access is actually available.
Newly released geographic markets become accessible during the remaining term without restarting or extending it.
9. Final Delivery Deadline
The final deadline for qualifying activation is:
December 31, 2027, at 11:59 p.m. Pacific Time.
Website updates, revised estimates, continued receipt of emails or beta participation do not extend this deadline for an existing order.
Any extension requires the affected customer’s separate, express agreement to the new deadline and associated refund treatment. Without that agreement, the original deadline remains applicable.
10. Cancellation and Refunds
10.1 Change of mind
Except for the specific remedies below and rights that applicable law does not permit to be waived, purchases are final.
UWAAN does not offer voluntary cancellation or refunds because you change your mind, no longer need the service, do not use it or prefer another product. This applies before and after activation.
10.2 Failure to activate by the final deadline
If qualifying activation has not occurred by December 31, 2027, at 11:59 p.m. Pacific Time, UWAAN will cancel the affected order and automatically initiate a full refund within 10 business days.
No refund request is required. Optional beta use does not remove this right.
The refund includes the amount paid for the undelivered order and applicable refundable taxes, without deducting development costs or payment-processing fees.
10.3 Abandonment before activation
If UWAAN permanently abandons the purchased service before qualifying activation, it will notify affected customers and initiate the same full refund within 10 business days of that decision.
10.4 Material failure after activation
If a material purchased capability is missing or materially fails to operate, notify hello@uwaan.com with sufficient information to investigate.
UWAAN will have up to 30 calendar days after notice to remedy the failure, unless applicable law requires a faster remedy.
If the material failure is not remedied within that period, you may terminate the affected service and receive a refund for the unused portion of the purchased term.
If purported activation never satisfied Section 8, the full-refund delivery provisions remain applicable. Incomplete activation cannot be used to replace a full-refund obligation with a smaller prorated refund.
Model uncertainty, accurately disclosed source-data limitations and an unsuccessful investment outcome do not, by themselves, constitute a service defect.
10.5 Permanent discontinuation and interruptions
If UWAAN permanently discontinues the purchased service during your term, it will refund the unused portion.
The prorated amount equals the access price paid multiplied by the remaining days divided by the total days of the purchased term, plus associated refundable taxes.
For a continuous interruption caused by UWAAN that prevents substantially all purchased use for more than seven days, UWAAN will extend the term by the unavailable days. This does not replace stronger remedies under this Agreement or applicable law.
10.6 Refund processing and preserved rights
Refunds under Sections 10.4 and 10.5 will be initiated within 10 business days after the entitlement is established.
Business days exclude Saturdays, Sundays and U.S. federal holidays. Banks and payment providers may require additional posting time.
Refunds normally return to the original payment method. If that method cannot receive the refund, UWAAN will arrange a lawful, verified alternative without an additional refund fee.
Nothing in this Agreement excludes mandatory consumer rights, remedies for misleading or fraudulent statements, unauthorized or duplicate charges, or lawful payment disputes. The same amount cannot be recovered twice.
11. Permitted Use and Reporting
During your purchased term, UWAAN grants you a limited, nonexclusive, nontransferable right to use the purchased platform through authorized users.
Individual customers may use available reports for their own research and portfolio decisions.
Corporate customers may use platform reports in their ordinary advisory and portfolio work and share client-specific reports with the relevant clients, subject to identified third-party data restrictions.
Reports must retain source attributions and analytical limitations included by the platform. Report recipients do not acquire login rights or permission to redistribute the underlying database.
You retain your rights in your own original input records.
12. Restrictions and Platform Protection
You may not:
- Resell or sublicense account access.
- Sell or redistribute bulk underlying datasets or proprietary scores as a separate data product.
- Scrape or systematically extract content beyond permitted functionality.
- Use UWAAN content to build a competing database or substitute service.
- Circumvent access controls or extract proprietary code, formulas or models, except where applicable law expressly permits.
- Introduce malicious software, impersonate others or knowingly infringe third-party rights.
These restrictions do not prevent permitted Corporate client reporting or the use of information independently and lawfully obtained elsewhere.
The platform is not designed or licensed as a consumer reporting service for credit, tenant eligibility, employment, insurance eligibility or similar regulated screening decisions. Do not use it for those purposes or unlawful discrimination.
UWAAN may investigate reasonably suspected misuse, preserve relevant evidence and seek lawful contractual or judicial remedies. Suspected misuse does not automatically establish liability or a financial penalty.
UWAAN does not claim exclusive ownership of public or third-party information merely because it appears in the platform.
13. Intellectual Property, Customer Information and Privacy
UWAAN retains its rights in its software, original interfaces, proprietary analytical methods, models and original content. Third-party materials remain subject to their owners’ rights.
You retain your rights in information you provide and authorize UWAAN to host, process, secure and display it as reasonably necessary to provide the purchased service.
You are responsible for having the rights and permissions needed to upload customer, client and property information. Avoid uploading unnecessary sensitive information.
This Agreement does not grant blanket permission to sell confidential customer uploads or use them to train general-purpose AI models.
Personal-information processing is described in the Privacy Policy at https://uwaan.com/privacy.html. Acknowledging that policy is not a waiver of privacy rights or consent to optional marketing.
14. Account Security, Suspension and Termination
Keep credentials secure, provide accurate contact information and promptly report suspected unauthorized access.
UWAAN may suspend access to the extent reasonably necessary to address security threats, unlawful use or a material breach. Notice and an opportunity to remedy will be provided where feasible.
For a curable material breach, termination may occur if the breach remains unresolved 15 calendar days after written notice. Serious unlawful or deliberately harmful conduct may justify earlier action.
Termination for an established material customer breach does not ordinarily create a voluntary refund right, subject to applicable law. Suspension or termination cannot be used to avoid UWAAN’s own delivery or refund obligations.
Before normal expiration or permanent discontinuation, UWAAN will provide reasonable notice and a reasonable means to retrieve customers’ own input records. This does not promise export of proprietary or third-party licensed datasets.
Customers should maintain their own copies of essential original records.
15. Analytical Limitations and No Professional Advice
UWAAN supports research and decision-making. It does not act as your broker, fiduciary, attorney, tax adviser, lender, inspector or appraiser.
Independently verify material facts before making a transaction or contacting an owner. Forecasts, scores and generated explanations may be incomplete or inaccurate.
No appreciation, rental income, selling opportunity, financing outcome or investment return is guaranteed.
To the extent permitted by law, UWAAN does not promise error-free information or uninterrupted access. These limitations do not remove expressly purchased capabilities, contractual refund remedies or obligations that cannot lawfully be excluded.
16. Liability
To the maximum extent permitted by applicable law, neither party is liable to the other for indirect, consequential, special or punitive damages, or lost investment profits, arising from this Agreement.
Subject to the exceptions below, each party’s aggregate liability arising from the order is limited to the amount paid or payable under that order.
These limitations do not reduce UWAAN’s express refund obligations, excuse fraud or willful misconduct, limit liability that applicable law does not permit to be limited, or protect a party’s infringement or misappropriation of the other party’s intellectual property or confidential information.
Nothing in this section guarantees the enforceability of a limitation where mandatory law requires otherwise.
17. Founding Member Recognition
The Corporate 36-month package includes optional Founding Member recognition.
With your separate permission, UWAAN will display the agreed customer or business name, and an approved logo if applicable, on a Founding Member acknowledgment page within 30 days after qualifying activation.
Recognition is optional, can be declined without affecting access and does not create an investment or endorsement relationship. You may request removal of your name or logo.
18. Changes, Notices and Governing Law
UWAAN may make reasonable technical and operational improvements. It may not retroactively reduce a purchased term, impose geographic expansion fees contrary to Section 5, remove material purchased capabilities or extend the final deadline through a unilateral website update.
Changes that materially reduce an existing customer’s contractual rights require that customer’s express agreement or the applicable remedy under this Agreement.
Operational and contractual notices will be sent to the email associated with your order. Keep that address current. Marketing unsubscribe preferences do not prevent necessary purchase and service notices.
This Agreement is governed by California law, subject to mandatory protections that apply to the customer. Subject to applicable law, disputes will be brought in the state or federal courts located in San Diego County, California.
This Agreement and the accepted order constitute the agreement for the purchase and control over conflicting general website terms for that purchase. If a provision is unenforceable, the remaining provisions continue to the extent legally permitted.
